Salesperson Account Setup Fee and Lead-Fees
Services under First Source’s paid Salesperson Accounts are available to individuals, corporations and other business entities that have agreed
to our "Terms of Service" and "Privacy Policy" and have provided the required information upon sign-up. By doing so these individuals and entities represent that they
are legally permitted and authorized in their jurisdiction to enter into agreements for the purchase of services offered by First Source Engineering
In addition, they also represent that
they are legally able to offer goods and services in accordance with the companies or entities that they represent in their account on First Source Engineering.
A single paid Salesperson Account is purchased for that user only. It may not be shared within an organization. First Source Engineering reserves
all rights as to the granting of Salesperson Accounts. Prior to utilizing the website, the Salesperson Account is required to be kept up-to-date
with complete and accurate information as requested. The "Salesperson Account Setup Fee" is a onetime charge, and is not recurring. The Salesperson
Account will then be capable of paying for leads on a per-lead basis or other such agreement as decided upon by First Source Engineering and the
Salesperson Account holder.
Salesperson Account Fees and Lead-Fees are non-refundable.
Termination
We may immediately terminate your account and delete your data if you breach any clause of this "Terms of Use" agreement or our company’s "Privacy
Policy" which is incorporated herein by reference. We may also terminate your membership if we are unable to verify or authenticate any information
which you provide to us. You may terminate your membership by sending us a written notice to info@firstsourceengineering.com. Termination of your account does
not relieve you of any financial obligations due under any provisions herein or to fulfill contractual obligations to other members of First Source
Engineering.
Partner and other Third Party Descriptions
From time to time, First Source Engineering may contain information concerning various third parties (often referred to as "partners") who
offer products or services compatible with First Source Engineering products. This information is provided for your convenience only. First Source
Engineering is not responsible for and does not warrant any third party product or service or the accuracy of any description related to them.

First Source Engineering may, at various times, provide certain links and connections to other websites as a convenience to you. First Source Engineering

account holders, you have agreed to release us (and our agents and employees) from any and all claims, demands and damages (actual, consequential and punitive)
of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with
the use of First Source Engineering or such disputes. You waive the provisions of any state, province, or country law limiting or prohibiting a

User Submissions/ Messaging
You are prohibited from posting or transmitting to or from First Source Engineering any unlawful, threatening, libelous, confidential, defamatory,

Buyers and Suppliers
Engineers, including Sourcing Professionals, Purchasing Agents, Managers, Supervisors, and all others who register as Engineers and source
products and services on First Source Engineering, represent that they are the owners of the intellectual property placed on the First Source
Engineering or that they have the full authority to do so, including the placement of drawings on the websites which are then disseminated to the
Salesperson community. First Source Engineering does not guarantee that quotes will be received by Buyers sourcing products and services.
Salespeople, including Sales Engineers, Sales Managers or Supervisors, Manufacturers' Representatives and all others registering as
Salespeople and providing information or quotes through First Source Engineering represent that they will respect the intellectual property of the
Engineers, including abiding by the confidentiality agreements and non-disclosure agreements specified by Engineers.
Salespeople maintaining accounts with First Source Engineering also agree that they receive these accounts in their own name or their
company, or companies', name and that these are single-user accounts which may not to be used by multiple persons. Named companies may transfer
an account in the event that an employee originally assigned to an account is no longer in that position due to reassignment or no longer working for
the company. Companies purchasing a multi-user account may utilize their accounts for named users only.
Salespeople will also not attempt to provide any information to Engineers that initiates contact between the two parties outside of
the website without first paying all applicable fees to First Source Engineering. This includes, but is not limited to, sending contact or other
identifying information to Engineers prior to paying applicable fees to receive posting Engineers' contact information from First Source
Engineering.
Engineers and Salespeople are responsible for performing their own due diligence on one another prior to their soliciting quotes,
providing quotes or awarding work and transacting business. This due diligence may take forms not provided by First Source Engineering.
Service warranty
Using the First Source Engineering site may be subject to limitations, delays and other problems inherent in the use of the Internet
and electronic communications (including but not limited to circumstances such as: acts of sabotage, embargo, war, closing by governmental
authorities, strikes, interruptions of telecommunications, floods, lightning, fire, earthquakes, viruses or other electronic impediments, or
intentional or accidental errors committed by Users). Users acknowledge that First Source Engineering is not responsible for any delays, failures
or other damage resulting from such limitations and that, while every effort is made to provide industry standard uptimes of its website, this is
not guaranteed. Furthermore, First Source Engineering reserves the right to interrupt service for scheduled or unscheduled maintenance or to
fix bugs and errors as they occur.
Notices
Users shall provide any required notice to First Source by E-mail to info@firstsourceengineering.com. We shall provide any notices to you by
E-mail to
the E-mail address you provided during your registration. Notice shall be deemed given 24 hours after the E-mail is sent, unless the sending
